SAWI App – Hospitals and Medical Centers

Effective Date

These Terms are effective as of the date accepted by the Hospital or Medical Center.

1. Definitions and Scope

SAWI: A technology platform registered in the Republic of Sudan acting as a technical intermediary for listing healthcare facilities and managing appointment booking requests.

Healthcare Facility: Any hospital or medical center legally licensed to operate in Sudan.

Services: The technical tools provided by SAWI, including profiles, appointment management, and operational reporting.

Patient: Any user who books an appointment through SAWI.

2. Legal Nature of the Relationship

            1.         The relationship between SAWI and the Healthcare Facility is purely technical and contractual.

            2.         This relationship does not create any partnership, agency, employment, or joint liability.

            3.         SAWI is not a healthcare provider or medical operator.

3. Limitation of SAWI’s Role

            1.         SAWI does not provide medical, diagnostic, or therapeutic services.

            2.         SAWI does not intervene in medical decisions, internal policies, or staff management.

            3.         SAWI bears no responsibility for:

            •          Medical malpractice or negligence

            •          Treatment outcomes or complications

            •          Patient complaints or disputes

All medical and professional responsibility rests solely with the Healthcare Facility.

4. Healthcare Facility Obligations

The Healthcare Facility shall:

            1.         Maintain valid licenses and permits under Sudanese law.

            2.         Comply with all applicable healthcare regulations.

            3.         Ensure qualified medical and technical staff.

            4.         Keep all information on SAWI accurate and up to date.

            5.         Properly manage appointments and notify patients of any changes.

5. Medical Staff Responsibility

            1.         All physicians and practitioners operate under the Facility’s sole legal responsibility.

            2.         SAWI shall not be liable for any acts, omissions, or errors of medical staff.

6. Data, Content, and Facility Profile

            1.         The Facility provides official and professional information to SAWI.

            2.         The Facility warrants that all content is accurate and non-misleading.

            3.         The Facility grants SAWI a non-exclusive license to use such content for display, operation, and marketing purposes.

            4.         SAWI may remove or reject any non-compliant content without liability.

7. Appointment Booking

            1.         Appointments are booked based on Facility-provided data.

            2.         SAWI does not guarantee provider availability, appointment fulfillment, or patient attendance.

            3.         Any dispute regarding appointments is solely between the Patient and the Healthcare Facility.

8. Fees and Payments

            1.         SAWI may apply subscription fees, commissions, or promotional packages.

            2.         Electronic payments may be enabled in the future.

            3.         SAWI may act as a payment intermediary or direct party.

            4.         Financial terms are governed by separate agreements or policies.

9. Patient Data Confidentiality

            1.         The Facility must protect patient data confidentiality.

            2.         Patient data must not be misused or unlawfully disclosed.

            3.         The Facility bears full legal responsibility for any data breach.

10. Indemnification

The Healthcare Facility shall fully indemnify SAWI against any claims, damages, losses, fines, or legal fees arising from:

            •          Medical errors or malpractice

            •          Patient claims

            •          Legal or regulatory violations

            •          Misuse of the platform

11. Limitation of Liability

SAWI shall not, under any circumstances, be liable for any medical, financial, or administrative consequences of the Facility’s healthcare activities.

12. Suspension and Termination

            1.         SAWI may suspend or terminate access without compensation in case of violations, reputational harm, or serious complaints.

            2.         SAWI may remove the Facility profile while retaining legally required records.

13. Force Majeure

SAWI shall not be liable for failures caused by events beyond reasonable control.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Sudan.

Sudanese courts shall have exclusive jurisdiction over any dispute.

15. Final Provisions

            1.         Invalidity of any provision does not affect the remaining provisions.

            2.         These Terms constitute the entire agreement between the parties.

            3.         No partnership, agency, or joint liability is created.
